- Updated and maintained by Quantrocle
7.2 Service Level
- We target 99.9% uptime for our SaaS services
- Scheduled maintenance will be communicated in advance
- Emergency maintenance may occur without notice
- Service credits may be available for extended outages (enterprise plans)
7.3 Service Modifications
We reserve the right to:
- Add, modify, or remove features
- Update the user interface
- Change system requirements
- Discontinue services with reasonable notice
8. Xorqi Platform Specific Terms
8.1 Platform Description
Xorqi is an AI-powered project management platform that enables teams to:
- Create and manage projects, tasks, and workflows
- Collaborate with team members in real-time
- Track time and resources
- Generate reports and analytics
- Integrate with third-party applications
- Leverage AI for intelligent automation
8.2 License Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Xorqi for your internal business purposes during your subscription period.
8.3 Permitted Use
- Creating and managing projects and tasks
- Collaborating with authorized team members
- Storing project-related files and documents
- Using integrations with authorized applications
- Generating reports for internal use
8.4 Restrictions
You may NOT:
- Sublicense, sell, resell, or redistribute access to Xorqi
- Reverse engineer, decompile, or disassemble the platform
- Attempt to access source code or underlying technology
- Use the platform for competitive analysis
- Bypass or circumvent usage limits or security measures
- Use automated tools to scrape or extract data
- Use the platform for any illegal purpose
9. API Terms of Use (api.xorqi.com)
9.1 API Access
- API access is provided to subscribers with eligible plans
- API keys must be kept confidential and secure
- You are responsible for all API calls made with your credentials
- API access may require additional agreements for certain uses
9.2 API Usage Limits
- Rate limits apply based on your subscription plan
- Exceeding rate limits may result in throttling or suspension
- Burst limits may apply for short-term spikes
- Enterprise plans may have customized limits
9.3 API Restrictions
- Do not use the API to create competing products
- Do not share API credentials with unauthorized parties
- Do not attempt to bypass authentication or rate limits
- Do not use the API for illegal or harmful purposes
9.4 API Changes
We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will maintain backward compatibility where possible.
10. Subscriptions & Plans
10.1 Subscription Plans

11.5 Late Payments
- Failed payments will be retried automatically
- Accounts with overdue payments may be suspended
- Late payment interest of 1.5% per month may apply
- Collection costs may be charged for delinquent accounts
12. Razorpay Payment Gateway
IMPORTANT: WE DO NOT STORE YOUR PAYMENT CARD DETAILS. All payment processing is handled securely by Razorpay. Your card numbers, CVV, and PINs are never stored on our servers.

13. Refunds & Cancellations
13.1 Cancellation Policy
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- Access continues until the end of the paid period
- No partial refunds for unused time (except where required by law)
13.2 Refund Policy
- Monthly Plans: No refunds for partial months
- Annual Plans: Prorated refund within first 30 days upon request
- Enterprise: As per individual contract terms
- Refunds for technical issues will be evaluated case by case
13.3 Refund Processing
- Approved refunds processed within 7-10 business days

14. User Conduct

You grant us a limited, non-exclusive, royalty-free license to use, store, process, and display your Customer Data solely for the purpose of providing and improving our Services.

- Data export features are available in your account
15.4 Aggregated Data
We may use anonymized, aggregated data for analytics, research, and service improvement. Such data will not identify you or your organization.

The names "Quantrocle," "Xorqi," and associated logos are registered trademarks of Quantrocle Private Limited. You may not use these marks without our prior written consent.
16.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by us without any obligation to you.
17. AI Features Terms
17.1 AI Capabilities
Xorqi incorporates artificial intelligence features including:
- Smart task suggestions
- Automated project planning
- Intelligent resource allocation
- Natural language processing
- Predictive analytics
17.2 AI Limitations
- AI suggestions are for assistance only
- AI outputs may not be 100% accurate
- You are responsible for validating AI suggestions
- Critical decisions should not rely solely on AI
17.3 AI Data Practices
- Your data is processed in isolated environments
- We do NOT use your data to train AI for other customers
- You can opt out of AI features in settings
18. SSO & Enterprise Terms
18.1 SSO Configuration
- SSO is available on Business and Enterprise plans
- We support SAML 2.0 and OAuth 2.0/OIDC
- Organization administrators manage SSO settings
18.2 Enterprise Agreements
Enterprise customers may have additional terms in their Master Service Agreement (MSA) which take precedence over these Terms.
19. Confidentiality
19.1 Both parties agree to treat all non-public information shared during the engagement as confidential.
19.2 Confidential information shall not be disclosed without prior written consent, except as required by law.
19.3 This obligation survives termination for five (5) years.
20. Warranties & Disclaimers
20.1 Our Warranties
We warrant that:
- We have the right to provide the Services
- The Services will perform substantially as described
- We will use commercially reasonable security measures
20.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
20.3 No Guarantee
We do not guarantee that:
- The Services will be uninterrupted or error-free
- Defects will be corrected
- The Services will meet all your requirements
- Data will never be lost
21. Limitation of Liability
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY
21.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTROCLE SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunity
- Loss of data or data corruption
- Loss of goodwill or reputation
- Cost of substitute services
21.2 Liability Cap
Our total aggregate liability under these Terms shall not exceed the greater of:
- The amount paid by you in the 12 months preceding the claim, or
- INR 50,000 (Indian Rupees Fifty Thousand)
21.3 Exceptions
These limitations do not apply to:
- Gross negligence or willful misconduct
- Breach of confidentiality obligations

- Your Customer Data
- Your use of the Services
23. Termination
23.1 Termination by You
- You may terminate your account at any time
- Use the account settings or contact support
- Termination takes effect at end of billing period
23.2 Termination by Us
We may terminate or suspend your access if:
- You breach these Terms
- You fail to pay applicable fees
- Your use poses a security risk
- Required by law or legal process
- We discontinue the Services
23.3 Effect of Termination
- Your license to use the Services ends immediately
- Accrued fees remain payable
- Certain provisions survive termination
24. Data Handling on Termination
24.1 Data Export
- You may export your data before or within 30 days after termination
- We provide export tools in standard formats
- Enterprise customers may request assisted export

25. Force Majeure
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, pandemic, government actions, power failures, internet outages, or third-party service failures.
26. Privacy & Data Protection
26.1 Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
26.2 You agree to comply with all applicable data protection laws when using our Services.
26.3 If you process personal data of others, you must have proper consent and legal basis.
27. Regulatory Compliance
We comply with applicable laws including:
- India: Information Technology Act, 2000; IT Rules, 2011; Companies Act, 2013; GST Laws
- Data Protection: DPDP Act, 2023 (as applicable); GDPR (for EU users)
- Payment: RBI Guidelines; PCI DSS (via Razorpay)
28. Governing Law
GOVERNING LAW CLAUSE
28.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India.
28.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
29. Exclusive Jurisdiction
EXCLUSIVE JURISDICTION CLAUSE - PLEASE READ CAREFULLY
29.1 Subject to Section 30 (Dispute Resolution), any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the EXCLUSIVE JURISDICTION of the competent courts located in Noida, District Gautam Buddha Nagar, Uttar Pradesh, India.
29.2 You irrevocably and unconditionally:
- Submit to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India
- Waive any objection to the venue of any proceedings in such courts
- Waive any objection that such courts are an inconvenient forum
- Agree that judgments may be enforced in any jurisdiction
29.3 Notwithstanding the above, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.
30. Dispute Resolution
30.1 Informal Resolution
Before initiating formal proceedings, parties shall attempt to resolve disputes through good-faith negotiations for at least 30 days.
30.2 Mediation
If informal resolution fails, parties may agree to mediation before proceeding to litigation.
30.3 Arbitration (Enterprise)
Enterprise customers may have arbitration provisions in their MSA, which would take precedence.
30.4 Class Action Waiver
To the extent permitted by law, you waive the right to participate in class action lawsuits or class-wide arbitration.
31. Modifications to Terms
31.1 We reserve the right to modify these Terms at any time.
31.2 Changes will be posted on our website with an updated effective date.
31.3 For material changes, we will notify you via email or prominent notice.
31.4 Continued use after changes constitutes acceptance.
31.5 If you disagree with changes, you may terminate your account.
32. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
33. Entire Agreement
33.1 These Terms, together with the Privacy Policy and any additional terms presented during use, constitute the entire agreement between you and Quantrocle.
33.2 These Terms supersede all prior agreements, representations, and understandings.
33.3 No waiver of any term shall be deemed a further or continuing waiver.
